Parties and Recitals

This Artist Master Agreement is entered into in León, Guanajuato, Mexico, on March 21, 2026.

VIONS: Ana Yerania Nájera Manríquez, an individual, domiciled in León, Guanajuato, acting on her own behalf and operating under the trade name "VIONS".

The Artist: The natural or legal person who offers creative services, performances, live or digital shows, musical, audiovisual, entertainment, or digital art content through the VIONS Platform.

Recitals: VIONS operates the VIONS digital platform as a technological and commercial intermediary ("broker") between artists, DJs, digital creators and brands, promoters, venues, and other professional clients, facilitating the management of bookings, performance agreements, and creative projects at an international level.

Definitions

  • "Artist": the natural or legal person offering creative services, performances, or content through the VIONS Platform.
  • "Brand" or "Client": any natural or legal person, company, promoter, agency, venue, or organization that contracts the Artist's services.
  • "Event": any activity, show, performance, concert, digital stream, brand campaign, or promotional action for which the Artist's services are contracted within GLOBAL SOUND.
  • "Project": any creative assignment, design, visual piece, 3D work, motion graphics, or other creative deliverable within VIONS STUDIO.
  • "Booking": the specific operational arrangement for the Artist's participation in a given Event.
  • "Commission": the amount due to VIONS for its intermediation and brokerage services.
  • "VIONS Ecosystem": the network of contacts, Platform, tools, communication channels, brands, promoters, venues, festivals, artists, and collaborators to which VIONS grants the Artist access.

Purpose and Scope

3.1. Under this Agreement, the Artist authorizes VIONS to act as independent intermediary and professional broker to: (i) facilitate, negotiate, and structure Bookings for GLOBAL SOUND Services, and (ii) facilitate, negotiate, and structure Projects for STUDIO Services.

3.2. This Agreement is a framework agreement setting general rules applicable to the entire relationship. Specific conditions shall be detailed in Booking Agreements, work orders, or written confirmations.

3.3. This Agreement shall be interpreted jointly with: (i) the VIONS Platform T&C; (ii) the Payment & Escrow Policy; (iii) Booking Agreements; and (iv) GLOBAL SOUND and STUDIO Tier annexes.

4

Nature of the Relationship

4.1. VIONS acts as an independent intermediary (broker) between the Artist and Clients, facilitating identification of opportunities, negotiation of conditions, and formalization of Bookings and Projects.

4.2. This Agreement does not create an employment relationship, partnership, joint venture, or general power of attorney. VIONS does not act as the Artist's manager or exclusive representative.

4.3. Non-Exclusivity: The Artist may collaborate with other agents, platforms, studios, promoters, or brands, provided compliance with this Agreement's obligations. VIONS may work with multiple artists without limitation.

4.4. Any Opportunity Generated by VIONS that results in a confirmed Booking or Project shall be subject to payment of the corresponding Commission.

Covered Services

5.1 GLOBAL SOUND Services

Musical performance services including DJ sets, live sets, performances at clubs, festivals, private events, showcases, digital streams, and other presentations related to the electronic music industry. These services may be provided under different staged collaboration schemes (Tiers 1 to 4).

5.2 STUDIO Services

Digital art, visuals, 3D design, motion visuals, visual development for shows and campaigns, and other project-based creative services within the VIONS STUDIO division.

Commission Structure

As consideration for its intermediation and brokerage services, the Artist undertakes to pay VIONS the following Commissions:

  • GLOBAL SOUND - National Bookings: 18% of the gross amount (Event within the Artist's main tax residence country)
  • GLOBAL SOUND - International Bookings: 25% of the gross amount (Event outside the national market or involving international contracting)
  • STUDIO Services - Creative Projects: 30% of the gross amount of each design, visual piece, or Project sold

Commissions are calculated on the gross value before any tax withholding or deductions. VIONS shall be entitled to automatically deduct Commissions from amounts received from Clients before distribution of funds to the Artist.

Opportunity Generated by VIONS

An "Opportunity Generated by VIONS" includes any Booking or Project where:

  • The first contact between Artist and Client took place through the VIONS Platform
  • The first contact was initiated by VIONS or an authorized VIONS representative
  • The Client became aware of the Artist through VIONS, its official channels, or its visibility campaigns
  • The Booking or Project is negotiated using VIONS Platform tools
  • The Booking or Project involves a Client, promoter, festival, brand, or venue previously introduced by VIONS

Contact Protection Period

The Artist undertakes not to close Bookings or Projects with VIONS Contacts outside of VIONS, without recognizing the corresponding Commission, for a protection period of 12 months from the last interaction facilitated by VIONS.

Artist Obligations

The Artist undertakes to:

  • Maintain true, accurate, and up-to-date information in their VIONS Platform profile
  • Duly perform confirmed Bookings and Projects, complying with agreed dates, times, and specifications
  • Comply with standards of professional conduct, integrity, and human rights
  • Hold all necessary rights, licenses, and authorizations over content, music, visuals, and trademarks
  • Comply with Opportunity Generated by VIONS, contact protection, anti-bypass, and notification duties
  • Comply with tax, regulatory, and other obligations in their country of residence

VIONS Obligations

VIONS undertakes to:

  • Maintain and operate the VIONS Platform as a technological infrastructure
  • Act as a professional intermediary and independent broker
  • Manage receipt of payments from Clients and distribution of funds to the Artist

Unless expressly agreed otherwise, VIONS is not the organizer of the Event nor the Artist's employer, nor does it assume obligations regarding logistics, security, permits, or insurance.

Intellectual Property and Content

Artist's Ownership: The Artist retains all copyright and related rights over their musical, audiovisual, visual works, performances, sets, digital avatars, designs, trademarks, and other content.

Moral Rights: To the extent recognized by applicable law, the Artist retains moral rights including the right to claim authorship and object to modifications that harm their honor or reputation.

License to VIONS: The Artist grants VIONS a non-exclusive, worldwide license to use their artistic name, image, biography, trademarks, logos, and content for: (a) displaying and promoting the Artist's profile; (b) enabling Clients to evaluate and select the Artist; (c) promoting Bookings and Events; (d) operating and improving the Platform.

Anti-Bypass and Notification

The Artist undertakes not to circumvent, divert, or avoid payment of Commissions owed to VIONS. Prohibited bypass practices include:

  • Agreeing with a Client to close a Booking or Project outside the VIONS Platform to avoid Commission
  • Using intermediaries, related entities, or aliases to contract with VIONS Contacts while pretending they are new clients
  • Any maneuver intended to conceal Bookings or Projects that should be considered Opportunities Generated by VIONS

The Artist must notify VIONS of any approach, proposal, or negotiation initiated by a Client or VIONS Contact where there is reasonable doubt as to whether it constitutes an Opportunity Generated by VIONS.

Term

This Agreement shall enter into force on the date of its signature (or equivalent electronic acceptance) and shall remain in force for an indefinite term, unless terminated as provided in this Agreement.

Either Party may terminate the Agreement by written notice with a 15-calendar-day prior notice period, except in cases of immediate termination for material breach, fraud, or violation of third-party rights.

Suspension and Termination

VIONS may temporarily suspend or cancel the Artist's access to the VIONS Platform where:

  • Material or repeated breach of this Agreement, T&C, or Payment & Escrow Policy
  • Reasonable indications of fraud, abuse, or infringement of intellectual property rights
  • Violation of human rights standards
  • A request from competent authorities
  • Conduct that significantly affects the reputation of VIONS or the VIONS Ecosystem

Termination shall not relieve the Parties from complying with obligations arising prior to the effective termination date, including Commission obligations within the protection period.

Limitation of Liability

VIONS' total aggregate liability to the Artist for any claim shall be limited to the amount of Commissions actually received by VIONS during the 12 months prior to the event giving rise to liability.

VIONS shall not be liable for indirect, consequential, or incidental damages, loss of profit, loss of business opportunity, or reputational damage, except in cases of willful misconduct or gross negligence duly proven.

Data Protection and Confidentiality

Processing of the Artist's personal data shall be governed by VIONS' Privacy Policy, which forms an integral part of the T&C.

Each Party undertakes to keep confidential the other Party's non-public information and not to disclose it to third parties, except in cases permitted by law or by the Platform's operation.

Governing Law and Disputes

This Agreement and any dispute shall be governed by and interpreted in accordance with the laws of the United Mexican States (Mexico).

The Parties shall seek in good faith to resolve any dispute through direct negotiation. If no amicable solution is reached:

  • For Artists domiciled in Mexico: competent courts at VIONS' domicile
  • For Artists domiciled outside Mexico: arbitration under ICC or LCIA rules (seat in London/Paris, proceedings in English)

Miscellaneous

Assignment: VIONS may assign its contractual position to any related, successor, or assignee entity in the context of a corporate reorganization, merger, acquisition, or business transfer. The Artist may not assign their rights or obligations without VIONS' prior written consent.

Severability: If any provision is declared null or unenforceable, such nullity shall not affect the validity of the remaining provisions.

Languages: In the event of discrepancies between language versions, the binding version on the VIONS Platform shall prevail.

Entire Agreement: This Agreement, together with the T&C, Privacy Policy, Payment & Escrow Policy, Brand/Client Agreement, and Booking Agreements constitutes the entire agreement between VIONS and the Artist.

Annex A – GLOBAL SOUND (Tiers 1–4)

Tier 1 Emerging Structured Development

For emerging artists with clear creative potential requiring structure, direction, and initial opportunities. VIONS provides high strategic involvement as a development partner: booking strategy, artistic identity development, profile optimization, and initial integration into the VIONS Ecosystem.

Tier 2 Strategic Growth & Market Expansion

For artists with a solid foundation looking to scale into new markets. VIONS provides hybrid strategic support: national booking plus first international opportunities, strategic positioning by scene, curated networking, and preparation for the self-booking system.

Tier 3 International Positioning & Platform

For artists with established presence seeking solid international positioning. VIONS acts as strategic facilitator: integration into self-booking platform, curated international visibility, direct connection with key contacts, and ongoing promotion on official channels.

Tier 4 Ecosystem Access

For artists with consolidated presence seeking access to the international ecosystem. Non-exclusive relationship: access to self-booking system, visibility in international ecosystem, and connection with promoters and selective opportunities.

Annex B – STUDIO (Project-Based Collaboration)

VIONS STUDIO provides access to a curated international network of DJs, artists, brands, promoters, and festivals for digital art, visuals, 3D design, and motion visuals.

Project-Based Model

Work is structured under a project-based collaboration system: Artists receive project opportunities within the VIONS Ecosystem, develop under a proposal–execution–delivery logic, and are responsible for creative quality and delivery times.

Commission: 30%

For each Project, design, or proposal sold arising from an Opportunity Generated by VIONS, the Artist pays a 30% Commission on the gross amount agreed with the Client.

Ecosystem Guidelines

All Projects, Clients, or opportunities originating within the VIONS Ecosystem must be managed exclusively within the Platform. It is not permitted to divert or close deals outside VIONS when the Client's origin comes from the VIONS Ecosystem.
